Jerry Carter is a commercial real estate and M&A attorney based in Tokyo.

Jerry advises on complex cross-border multi-asset purchase and sale transactions and financing transactions across all key asset classes. He also advises on complex cross-border M&A transactions, joint ventures, private equity, and real estate fund formation and investment.

Jerry has represented public and private companies, investment banks, financial institutions, private equity funds, insurance companies, and institutional investors across various industries both inbound into Japan and outbound from Japan.

Prior to joining Greenberg Traurig, Jerry worked at U.S. law firms in Chicago and Tokyo assisting Asian and European companies to enter, operate, and expand in the United States through M&A, commercial, and real estate transactions.

Jerry has lived in Japan for a number of years and can read, write, and speak the Japanese language. He also lectures at a leading law school in Japan.

  • Represented a Chinese real estate and development company in connection with its $175 million acquisition and financing of a multi-family and residential development in the United States.
  • Represented a European real estate fund in connection with its $86 million sale and disposition of a large mixed-use real estate project in Japan.
  • Represented an APAC property and infrastructure company and its co-investment partner, a sovereign wealth fund, in connection with their approximately $1 billion sale of a data center in Japan.
  • Represented an APAC property and infrastructure company in connection with its approximately $90 million acquisition of a portfolio of multi-family and residential developments located in a variety of locations in Japan.
  • Represented a Chinese private equity firm in connection with its $10 million mezzanine loan used downstream to acquire and finance a parcel of land in the United States.
  • Represented a consortium consisting of a Hong Kong publicly listed company and a global casino operator in connection with their potential approximately $8 billion real estate and infrastructure project in Japan.
  • Represented a Chinese private equity firm (approximately $2 billion AUM) in connection with the restructuring of its fund investment platform investing in hotel properties across the United States.
  • Represented global gaming, hotel and resort companies throughout Japan in connection with their potential billion-dollar real estate and infrastructure projects in Japan.
  • Represented a global real estate fund (approximately $100 billion AUM) in connection with its approximately $50 million acquisition of a portfolio of multi-family and residential developments located in a variety of locations in Japan.
  • Represented a syndicate of Japanese financial institutions in connection with an approximately $200 million facility extended in Japan and secured by real estate assets located in the United States.
  • Represented a global financial institution in connection with its approximately $100 million restructuring and refinancing of a hotel property located in Japan.
