MEXICO CITY – June 30, 2020 – A team of Corporate Practice and Infrastructure Group attorneys from the Mexico City office of global law firm Greenberg Traurig, LLP, represented Red de Carreteras de Occidente S.A.B. de C.V. (RCO) in the process leading up to the purchase of approximately 72 percent of its capital stock for US$2.387 billion.
Greenberg Traurig Infrastructure Group and Corporate Practice Shareholders Juan Manuel González Bernal and Carlos R. Garduño acted as lead counsel in the sale to a partnership formed between GIC Special Investment Pte. Ltd. and Abertis Infraestructuras, S.A. A team of Greenberg Traurig attorneys represented the client in a complex process involving negotiating the purchase agreement, procuring regulatory approvals for the transaction, coordinating the exercise by its minority shareholders of contractual tag-along rights, and the preparation and filing of the application and related documents before Mexico’s National Banking and Securities Commission for a tender offer to be conducted following the cancellation of the registration of the company’s shares in the Mexican Securities Registry. The GT team coordinated all efforts to ensure an orderly and timely closing, including the surrender of the certificates of capital development (CKD) currently representing the company’s minority Series B Shares.

RCO is one of the largest operators and developers of private toll roads and related infrastructure in Mexico. It controls five concessionaires that manage 876.5 KM, which serves as the main transportation route in the central-western region, connecting the core industrial corridor of El Bajío with the two largest cities, Mexico City and Guadalajara.
