Devora Snyder-Shefer focuses her practice on providing companies across industry sectors with customized legal counsel that speaks to each company’s unique needs and interests.

In particular, Devora utilizes her many years of experience supporting clients on a variety of transactional and regulatory matters and leverages the wide-ranging GT platform to provide A-to-Z support for her clients' capital markets, technology, commercial, corporate, and financial-focused needs.

Within this framework, Devora counsels both emerging and established companies across the globe, offering clients practical and efficient legal counsel, while striving to manage costs and risks via business-friendly strategies. Devora advises clients on technology and commercial contracts, U.S. corporate formation and company build-out, securities laws and governance matters, financial transactions, mergers and acquisitions, as well as data privacy and protection and cybersecurity.

In addition, Devora is a regional liaison to the GT Women's Initiative from the EU/EMEA Region, and is dedicated to providing pro bono legal counsel to underrepresented groups in Israel and around the world.

  • Represented PainReform Ltd., an Israeli-based pharmaceutical company, in multiple transactions, involving registered direct offerings or ordinary shares and warrants and concurrent private placements of warrants.
  • Represented longstanding client Advanced Monitored Caregiving (AMC Health), a New York-based leading telehealth and remote patient monitoring (RPM) services provider, as part of an investment made by York Capital Management's global private equity group.
  • Represented U.S.-based On.Care LLC, a provider of a user-friendly purchasing and invoicing system, in its acquisition by Procurement Partners.
  • Represented Amadeus IT Group, S.A. in an M&A transaction spanning Israel, Europe and the U.S.
  • Represented Cowen and Company as underwriters’ counsel in a confidentially marketed public offering (CMPO) of ordinary shares of SuperCom Ltd., an Israeli technology company traded on Nasdaq, with proceeds of approximately $30 million.
  • Advised Worthy.com on numerous U.S. regulatory, financing and M&A matters.
  • Represented Future Media Group in its Acquisition of W Magazine from Condé Nast.
  • Represented Canon in their acquisition of Israeli video analysis company BriefCam.
  • Representation of Digital Health Company as part of their pre-SPAC audit, assisting the company in reconfiguring their cap table maintenance and shareholder distribution methods.
  • Representation of longstanding client Nuvo Group, an Israeli company focused on pregnancy care, on its merger with LAMF Global Ventures, in a strategic SPAC deal. In addition, GT serves as Nuvo Group’s lead counsel on all technology, licensing, clinical trial and collaboration agreements, as well as privacy and data security programs and protocols, including HIPAA and GDPR.
  • Represented NICE Systems Ltd. with regards to their global privacy requirements, including structuring and implementation of privacy-focused program and related corporate governance tools.
  • Represented OwnbackUp Ltd., an Israeli Cloud Data Protection platform, on its acquisition of an Indian technology company.
  • Representation of U.S. real estate logistics investment firm with the development of form technology agreements, including its global terms of service and privacy policy.
  • Representation of Israeli health care software company in establishing a global framework of protecting its intellectual property across several jurisdictions in connection with a material corporate transaction.
  • Advised numerous non-U.S. entities on HIPAA compliance.
  • Represented Israeli investor group in joint venture dispute with local operator and in CMBS loan workout of a $50 million portfolio of U.S. multifamily properties.
  • Represented Migdal Insurance Company and a consortium of Israeli pension funds in a EUR 200 million joint venture to acquire an office complex in Frankfurt, Germany.
  • Represented a U.S. real estate developer in $100 million acquisition of Chicago office building and joint venture with Israeli pension fund.
