Małgorzata Czarnecka is a member of the Project & Structured Finance practice. She advises Polish and foreign banks, bank syndicates and borrowers on financing and refinancing of investments, including renewable energy projects. Her experience includes drafting and negotiating security documents, legal opinions as well as corporate documentation related to financing projects. Małgorzata supervises the process of satisfaction of conditions precedent and conditions subsequent to loan utilization. She participated in a number of corporate bond issue projects, M&A transactions, due diligence of companies and provided day-to-day legal support to companies.

Experiencia

  • Participated in the work for DNB, mBank in connection with a EUR 90 million revolving credit facility extended to Greenvolt Power, a company belonging to Greenvolt Group, for the construction of wind farms and large-scale photovoltaic projects in Poland.°
  • Participated in the work for mBank in connection with a PLN 199 million (equivalent to EUR 44 million) facility agreement with Enwind, a project company belonging to the TotalEnergies Group, to refinance the existing Głuchów I wind farm and finance the construction of a new Głuchów II wind farm. Both projects are located in central Poland and have a total capacity of 40 MW.°
  • Participated in the work for EBRD, Eiffel Investment Group in connection with a pioneering bridge loan of EUR 45 million to support the construction and operation of a portfolio of 16 solar photovoltaic power plants with a total capacity of 114.7 MW across Poland, developed by PL-SUN. The loan will consist of equal contributions of EUR 22.5 million from each institution and is the first project co-financed under a new partnership between Eiffel and EBRD, aimed at accelerating the green transition in Central and Eastern Europe.°
  • Participated in the work for an international financial institution in connection with the extension of a senior loan of up to PLN 350 million to a Polish bank with the aim to support the commercial bank in Poland in on-lending the EBRD funds through local-currency loans to private individuals to finance energy-saving and renewable energy sub-projects in residential buildings.°
  • Participated in the work for a consortium of Polish and foreign banks in connection with nearly EUR 150 million refinancing of the indebtedness of companies belonging to a Polish asset manager of retail real estate. The companies operate four shopping centers in Poland.°
  • Participated in the work for an international financial institution in connection with granting a loan facility of up to EUR 72 million to a major Polish real property developer, to develop and operate seven sustainable build-to-suit logistics and industrial projects in numerous locations in Poland.°
  • Participated in the work for a leading Polish bank in connection with financing of the construction of a 3.5 MW wind farm located in Wielkopolska Province, Poland which included negotiations of a largest long-term renewable power purchase agreements in the Polish energy market.°
  • Participated in the work for a Polish company in connection with the process of issuing corporate bonds. The bonds were subscribed by investment funds belonging to a French investment group, and the proceeds from the issue were allocated to the implementation of five photovoltaic projects in Poland.°
