Greenberg Traurig's Structured Finance Practice participates in a wide variety of securitized and structured products encompassing almost every asset class in the mortgage, asset-backed, corporate loan, municipal, and structured products markets, including RMBS, CMBS, CLOs, credit card securitizations, auto loan securitizations, equipment securitizations (retail and wholesale), and future flow securitizations. Through our representation of every type of market participant – from major financial institutions and Fortune 500 companies to investment managers and specialty finance companies – we have a breadth of experience that few law firms can offer.
While we have developed complex securitization techniques and structured derivatives products for new asset classes, we also have extensive experience handling routine transactions where efficiency, accessibility, and cost minimization are essential.
With more than 20 attorneys, throughout our network of locations, we represent clients in U.S.-based transactions and offshore offerings, including pioneering cross-border securitizations on behalf of global issuers.
Capabilities
- Structure and negotiate a full range of mortgage-backed, asset-backed, tax-exempt, bond-backed securities, as well as derivatives, structured products, and structured investment vehicles
- Advise investment managers in connection with structuring and negotiations of CLOs, CBOs, CFOs, and other types of CDOs, as well as risk retention funds and other private investment funds
- Assist with investing in CLOs, CDOs, and other asset backed securities
- Advise investment managers in connection with loan trades and other asset trades, as well as warehouse financing transactions for CLOs and other securitization transactions
- Assist with governmental and regulatory authority filings, compliance, and audits
- Represent both institutional lenders and borrowers in facilities secured by a variety of collateral
- Representing ABS issuers in connection with Dodd-Frank and related rules and regulations
