Edgar Orozco focuses his practice on financing, infrastructure and project finance for public and private projects. Edgar has advised numerous public and private financial institutions, as well as various governmental entities, including the federal government of Mexico, in major national and subnational financing transactions in the social infrastructure sectors.

On the Financial Regulatory & Compliance front, he has a thorough understanding of regulatory issues affecting the financial services sector and has deep experience in licensing, compliance, investigatory, and enforcement matters.

In addition, Edgar focuses his practice on capital markets and has broad experience advising clients on initial public offerings, high yield and investment grade debt offerings, Rule 144A and Regulation S offerings, among others.

  • Representation of the government of the state of Veracruz in the restructuring of two financings that together amount to MX$4,800 million (US$240 million).
  • Represented BANOBRAS in the financing to ICA, to be used in the construction of the fourth section of the Mayan Train (Izamal-Cancun), for an amount of MX$8 billion.
  • Represented several Mexican states and municipalities in the refinancing and restructuring of their long-term public debt, which in individual transactions have reached total amounts up to MX$60 billion. (including Mexico City, Nuevo Leon, Veracruz, Chihuahua, Durango,Nayarit, among others).
  • Represented Banco Azteca (BAZ) in the granting of a syndicated loan in favor of Conservadora Mexiquense de Caminos del Sur to be used in the Public-Private Partnership Project (PPP) for the rehabilitation and conservation of 1,637 kilometers of roads and highways in the state of Mexico. The loan was granted in the amount of MX$4.47 million and is divided into several tranches.
  • Represented Banorte in the acquisition, via financial factoring, of the collection rights for MX$4 billion derived from the termination payments that the state of Yucatan must cover in connection with the Service Contract of the Great Museum of the Mayan World of Merida.
  • Advised the federal government of Mexico and its 32 federal entities in the securitization of the “Fondo de Aportaciones Múltiples” (FAM) for the placement of MX$75 trillion, for the construction of educational infrastructure through the governmental program “Escuelas al Cien.
  • Advised the Mexican federal government in the international issuance and placement of Mexico’s catastrophic bonds.
  • Advised the government of Mexico City in the implementation and structuring of an annual issuance program backed by the federal government. This was the first green bond issuance by a city in Latin America.°
  • Representation of CKD IM (CKD Infraestructura México) in the renegotiation of eight asset management agreements related to the operation of wind and solar power plants located in various states of the Mexican Republic, with the purpose of assigning the services to be provided by the generators and the managers for the operation of such plants.
  • Advised the federal government of Mexico in the negotiation of the first public-private partnership contract for the construction of a federal prison center located in the state of Veracruz with an initial investment of MX$6 billion.
  • Advised Grupo Seguritech in the negotiation and execution of a public-private partnership agreement for the construction and development of a C5 (command, control, communications, computing and citizen contact center) in the state of Michoacán with an initial investment of MX$4.5 billion.
  • Advised the government of Mexico City in the negotiation and implementation of a trust for the granting of mortgage loans to people affected by the earthquake in Mexico City in 2017.°
  • Represented the federal government in the financing and fulfillment of agreements for the provision of services for eight federal penitentiary centers.°
  • Represented Avanzia, a Mexican subsidiary of the global infrastructure construction group Grupo Cobra/Grupo ACS, in the sale of assets and the expansion of its activities in oil and gas and power generation projects.
