NEW YORK June 13, 2024– Global law firm Greenberg Traurig, LLP advised Ono Pharmaceutical Co., Ltd., a Japanese company (kabushiki kaisha), on the completion of the tender offer announced April 30 to acquire all outstanding shares of common stock of U.S. biopharmaceutical company Deciphera Pharmaceuticals, Inc. (Nasdaq: DCPH) for $25.60 per share, with a total amount of approximately $2.4 billion, through its wholly owned subsidiary, Topaz Merger Sub, Inc. The tender offer commenced May 13 and was completed just before the June 10 deadline. On June 11, following the completion of the tender offer, Merger Sub merged with and into Deciphera with Deciphera continuing as the surviving corporation and a wholly owned subsidiary of Ono. As a result, Deciphera’s shares not tendered in the offer were converted into the right to receive the same per share consideration as the tender offer price. In connection with the acquisition, Deciphera shares ceased to be traded on Nasdaq as of the acquisition closing date and shares of Deciphera’s common stock will be delisted from Nasdaq.
