Anthony Zangrillo focuses on capital markets transactions, mergers and acquisitions, and corporate governance matters. He represents private equity sponsors, public company issuers, underwriters, and initial purchasers in various securities matters, including initial public offerings, direct listings, acquisition financings, equity offerings, special purpose acquisition company (SPAC) transactions, convertible note issuances, tender and exchange offers, and debt offerings.
Anthony has represented both issuers and underwriters in initial public offerings, including for SPACS, across diverse industries such as life sciences, restaurants, and technology. He has also been involved in matters within the sports finance industry, including representing professional athletes in investment vehicles.
Additionally, in the realm of mergers and acquisitions, Anthony has been involved in numerous business combinations across various industries, including entertainment, automotive, visual content creation, ticket marketplaces, luxury fashion, manufacturing, and biopharmaceuticals. These transactions often involve concurrent equity private placements.
Anthony also advises U.S. and international clients on corporate and securities law matters, including corporate governance and SEC, NYSE, and Nasdaq disclosure, reporting, and compliance obligations. He counsels clients with insightful guidance and strategic, business-focused advice to solve novel, complex securities law issues.
