Marcin Gralewski focuses his practice on real estate, renewable energy sources matters and corporate law. He advises clients, in particular developers and investment funds, in connection with transactions relating to the sale and purchase of real estate (both share and asset deals), M&A, and RES projects. His experience includes transactions involving office, retail, logistics, PRS and greenfield real estate and real estate companies as well as wind and photovoltaic farms.

He assists in the preparation of due diligence reports in the areas of real estate, companies and assets. He supports clients with ongoing legal advice, particularly on the investment and construction process, planning and spatial development, and renewable energy sources.

  • Advises GLP group companies on day-to-day issues related to land acquisition and the investment process (in particular planning issues and agreements with contractors) and maintenance of warehouse buildings.
  • Participates in ongoing advice to the Tritax EuroBox plc fund on the construction and maintenance of warehouse buildings.
  • Advises PAK-Polska Czysta Energia group companies on issues of securing the title to real estate and the investment process for the development of RES projects.

  • Participated in the work for Polsat Plus Group in the process of obtaining financing for the construction of a wind farm in Człuchów. The financing amounted to PLN 800 million (EUR 183.46 million).
  • Participated in the work for GLP Poland in connection with the acquisition of two logistics warehouses in Janki near Warsaw. The properties have a total area of 37,600 sq. m.
  • Participated in the work for PAK-Polska Czysta Energia in connection with the real estate aspects of the acquisition of a special purpose vehicle belonging to the Neoinvestment Group, responsible for the construction of a wind farm located in Drzeżewo, consisting of 40 wind turbines with a total capacity of approx. 88 MW.
  • Participated in the work for Trigea Nemovitostni Fond, Sicav, A.S. in connection with the acquisition of a warehouse park located in Wrocław, with a total lease area of 38,178 sq. m.
  • Participated in the work for Value4Capital, a private equity firm, in connection with the sale of 100% of the shares in Kom-Eko to a fund whose sole and exclusive investment advisor is CEE Equity Partners.
  • Advised PAK-Polska Czysta Energia in connection with the acquisition of another special purpose company owned by the Neoinvestment Group and responsible for the construction of a wind farm situated in Potęgowo, Słupsk and Damnica in the Pomerania Province, consisting of 23 Vestas wind turbines with a total capacity of approx. 50.6 MW.
  • Participated in the work for Stock Spirits group in connection with the indirect acquisition of 100% of the shares in Polmos Bielsko-Biała S.A.
  • Participated in the work for Echo Investment in connection with the sale of the MidPoint 71 office building in Wrocław to Trigea Real Estate Fund.
  • Participated in the work for Marvipol Development S.A. in connection with the package sale of 138 residential premises located in the Unique Tower project located at Grzybowska Street in Warsaw to Haimstaden Bostad Group.
  • Participated in the work for Marvipol Development S.A. in connection with the package sale of residential premises located in the Moko Botanika project in Warsaw to Haimstaden Bostad Group.

  • Participated in the work for PAK-Polska Czysta Energia in connection with the real estate aspects of the acquisition of a special purpose company owned by the Conerga Group and KI Foundation, responsible for the construction of a wind farm situated in Przyrów, consisting of 14 wind turbines with a total capacity of approx. 42 MW.
  • Participated in the work for PAK-Polska Czysta Energia in connection with the real estate aspects of the acquisition of a special purpose company owned by the Vortex Energy, responsible for the construction of a wind farm situated in Miłosław, consisting of 4 wind turbines with a total capacity of approx. 9.6 MW.
  • Participated in the work for PAK-Polska Czysta Energia in connection with the real estate aspects of the acquisition of a special purpose company owned by the Conerga Group and KI Foundation, responsible for the construction of a wind farm situated in Kazimierz Biskupi, consisting of 7 wind turbines with a total capacity of approx. 17.5 MW.
  • Participated in the work for AEW, acting on behalf of a German investor, in connection with a transaction involving the acquisition of a city logistics project near Warsaw.
  • Participated in the work for Tritax EuroBox in connection with the transaction involving the sale of the warehouse leased to Castorama located in the Polish logistics hub of Stryków near Łódź to Savills Investment Management.
  • Participated in the work for Abris CEE Mid-Market Fund III L.P., managed by Abris Capital Ltd., in connection with real estate aspects of the acquisition of Scanmed S.A.
  • Participated in the work for CA Immobilien Anlagen AG (CA Immo), a specialist in office properties in Central European capitals, in connection with the acquisition of all shares in P14 Sp. z o.o., the owner of the Postępu 14 office building located in the Mokotów area of Warsaw.
  • Participated in the work for Reino RF CEE Real Estate, the Luxemburg-based fund created as part of the strategic cooperation between REINO Capital and the Australian fund, RF CorVal, in connection with the attempted acquisition of the entire BUMA Group real estate portfolio.
  • Participated in the work for Tritax EuroBox in connection with the acquisition of all shares in Central Logistics Investment, holding two recently developed modern logistics buildings and development land located in the Polish logistics hub of Stryków near Łódź.
  • Advised Unibail-Rodamco-Westfield in connection with the sale of two office buildings in Poland – Lumen and Skylight – to Globalworth Poland.°
  • Participated in the work for ZE PAK S.A. and PAK-Polska Czysta Energia sp. z o.o. in connection with a joint investment involving the acquisition of all shares in two special purpose companies implementing a wind power complex project. The project, which will have a total connected power of approx. 500 MW, is the largest planned onshore wind farm complex in Poland to date.
  • Participated in the work for eRecruitment Solutions, a company from the capital group of Grupa Pracuj S.A., in connection with the acquisition of all shares in HRlink from Agora S.A. and two individual minority shareholders.
