John’s practice is focused on corporate transactions, including mergers and acquisitions, private equity and venture capital financings, corporate formation and governance, and other general corporate matters. He has also represented private equity real estate funds and joint ventures in connection with their formation and investment activities. Prior to becoming an attorney, John served as an officer in the United States Navy, earned a MBA, and worked as a management consultant for a global consulting firm.

(“MoviePass”), a majority-owned subsidiary of HMNY, in the acquisition of Moviefone, an entertainment service which provides over 6 million monthly unique visitors full access to the entertainment ecosystem, from movie theaters to streaming services. HMNY acquired Moviefone from Oath Inc. (formerly, AOL Inc.), a subsidiary of Verizon Communications.
  • Representation of a 3D technology company in an asset purchase transaction in which it acquired the assets of a Korean 3D theater system and display technology company and its U.S. affiliate.
  • Representation of a publicly traded aerospace and defense corporation in its acquisition of a manufacturer of satellite components and space communication systems in an all-cash merger transaction.
  • Representation of a U.S. television production company in a stock purchase transaction in which it was acquired by a British television production company.
