Yuta Delarck is a shareholder in the Corporate Practice of the firm's New York office. Yuta represents domestic and foreign companies, investment banks and private equity and venture capital firms in a wide range of corporate transactions. Her focus is on securities regulation, capital markets and corporate advisory work. She has wide-ranging experience in initial public offerings, follow-on offerings, private offerings of equity securities and strategic investments. She also advises companies on corporate governance and compliance issues, including various filings by public companies under the 1934 Act with the SEC, FINRA rules, listing requirements, risk oversight, fiduciary duties, board and committee structure, shareholder initiatives, proxy contests, shareholder engagement, compliance issues and governance best practices.
