  • Represented Praana Group, an India-based holding group that operates a diverse portfolio of companies primarily serving the industrial sector, in connection with its definitive agreement to acquire Owens Corning’s (NYSE: OC) glass reinforcements business at an enterprise value of $755 million.
  • Represented ONO Pharmaceutical Co., Ltd., a Japanese pharmaceutical company, in its tender offer to acquire all outstanding shares of Deciphera Pharmaceuticals, Inc. (DCPH), a biopharmaceutical company focusing on cancer therapies and treatments, followed by a merger, for a total equity value of $2.4 billion.
  • Represented Concord Acquisition Corp II, affiliated with Bob Diamond’s Atlas Merchant Capital, in a $399 million business combination with Events.com, Inc., an industry-leading event management platform. The deal assumes a $434 million equity value at closing, based on 43.4 million shares and $35 million in net cash, excluding certain convertible securities and earn-outs. This transaction, approved by both boards, will enable Events.com to expand its offerings and AI capabilities. The combined entity will be named “Events.com” and is expected to list on the NYSE under the ticker “RSVP.”
  • Represented CBRE Group, Inc. in its acquisition of NRG Energy’s renewable advisory group, which specializes in brokering and advising on renewable energy transactions.
  • Represented Nuvo Group Ltd., an Israeli pregnancy care company which has developed an FDA-cleared remote pregnancy monitoring platform, in connection with its business combination with LAMF Global Ventures Corp. I, a publicly traded special purpose acquisition company, at a pre-money equity value of approximately $300 million.
  • Represented Attivo Group, a global marketing services firm, in connection with two acquisitions of (i) Hill Holliday, and (ii) Deutsch NY, both of which are integrated advertising, media, and digital marketing agencies previously owned by The Interpublic Group of Companies, Inc., a publicly traded advertising company.
  • Represented Check-Cap Ltd., an Israeli public company in connection with the negotiation and execution of a definitive business combination agreement with Keystone Dental Holdings, Inc. The transaction values Check-Cap’s equity at $39.7 million and Keystone’s equity at $225 million, and provides for a Check-Cap net cash target of $22.3 million at closing.
  • Represented Immersed Inc., a leading provider of enterprise AI productivity solutions that use spatial computing to digitally transform the work environment, in connection with its definitive business combination agreement with Maquia Capital Acquisition Corp., a publicly traded special purpose acquisition company. The transaction values Immersed Inc. at $150 million. Upon closing of the transaction, the combined company will be named Immersed In. and is expected to be listed on Nasdaq under the ticker symbol “AIMR”.
  • Represented M & V. Provision Co. Inc., a wholesale distribution company catering to the deli market and highlighted by its trusted Northside Brand, in connection with the sale of its business to Legacy Food Group (Legacy) as well as an investment by Quad-C Management, Inc. (Quad-C), a mid-market private equity investment firm.
  • Represented a strategic investor in its successful bid for the acquisition of automotive aftermarket assets under Section 363 of the United States Bankruptcy Code.
  • Represented Kakao Pay Corp. in an agreement to purchase a 19.9% stake of Siebert Financial Corporation (SIEB) of newly issued shares for approximately $17 million.
