Gabriel Lozano is a shareholder in the GT Mexico City office, and as head of the Mexico Nearshoring group has relocated permanently to Monterrey. He focuses his corporate practice on mergers and acquisitions, private equity and venture capital investments, and private financing. As a dually licensed attorney eligible to practice in Mexico and US (admitted to the NY state bar), Gabriel has served as a transactional attorney advising clients in connection with domestic as well as cross-border transactions. His cross-border experience includes advising clients in both in-bound and out-bound venture capital and private equity investments, as well in their soft landing in Mexico and Latin America, including legal aspects in connection with the relocation of business operations to Mexico.

  • GT represented Proeza in the following investments:
    • USD $4.9M Seed Funding Round of Ottometric, an emerging technology leader in the validation of Advanced Driver Assistance Systems (ADAS). The round was led by Rally Ventures, with participation from leading mobility funds including Goodyear Ventures, Proeza Ventures, Automotive Ventures, Trucks VC, Reinforced Ventures and Investor Collaborative.
    • USD $4.1M investment of Autolab Secures to Expand Operations in Colombia and Mexico. a trailblazer providing management software to car service facilities, successfully raised USD $4.1 million in a funding round. Vertical Venture Partners and Haven Ventures led the round, which also saw participation from Interplay, Bullpen Capital, Proeza Ventures, and Polymath Ventures.
    • GT represented Proeza Ventures in the investment of Rhythmos, an electric vehicle (EV) and commercial fleet charging and grid optimization technology company to expand operations in Mexico.
    • USD $6.5 million Seed + round in Autolab, which is Latin America’s leading auto repair and parts platform. GT represented Proeza Ventures as one of the investors in this round, to help fund the expansion of the company into Latin America.
    • Equity round in DriveU, a software-based connectivity platform enabling the deployment of autonomous vehicles and robots. GT represented Proeza Ventures as the lead investor. Important collaboration between GT Mexico City and Tel Aviv offices.
    • Equity round in Solvento, an invoice settlement and payment automation fintech platform focusing on the Mexican logistics industry (trucking). We advised Proeza Ventures as one of the investors in this equity round.
    • Follow-on investment in original €6 million Series A round in BusUp, a corporate bus commuter management solutions company. GT represented Proeza Ventures as lead investor in the original round which closed on Feb 2021, and most recently on the follow-on equity round which recently closed on Sept 2022.
  • GT represented Proeza Ventures in the investment of Deftpower, an AI-supported SaaS platform for EV charging company to expand operations in Mexico. Advised IGNIA Partners and Dalus Capital as lead co-investors, as well as other investors, in a Series A equity round of US$6.5 million in the company UnDosTres, a Mexican FinTech company with an online digital payment platform. The proceeds of this investment round will be used to fund the platform’s growth, and to continue development of new payment services.
  • Representation of an institutional investor in establishing a Joint Venture Agreement with a developer of industrial real estate projects in Mexico, in order to fund the development of new projects for a term of at least 3 years. The scope of our engagement included advising on the deal structure, drafting and negotiating deal documents, overseeing the incorporation of SPVs in Mexico, and documenting and formalizing the projects to be developed under this joint venture.
  • Representation of a syndicate of banks on a project financing deal, in connection with a toll road in Mexico. Financing was granted for up to MX$964,645,000 to cover the construction of the project, as well as VAT payments during the construction phase. Our engagement included drafting and negotiating the deal documents, review of the bid documents, conduct due diligence on the SPV incorporated in order to carry out this project, as well as on its shareholders which were awarded this project by the governmental authorities in Mexico.
  • Representation of an institutional investor involved in real estate development, in obtaining a credit facility of up to MX$364,000,000 pesos from one of the top banks in Mexico in order to fund its development projects. Our engagement included advising our client on the optimal deal structure, as well as negotiating and drafting deal documents.
  • Representation of a bank extending a line of credit for the acquisition of a seller financing facility in connection with an underlying real estate loan portfolio in Mexico, and advise in the syndication of such financing. The scope of our engagement included to review and report the mechanics of the seller financing facilities being acquired, give an overview of the status of its collateral, and give legal advice in connection with the anti-trust implications in Mexico of acquiring such financing facilities. GT also facilitated the closing of the financing and the syndication of the loan facility extended by our client, particularly in connection with exchange of promissory notes in Mexico.
