WARSAW – 20 February 2025 – Greenberg Traurig advised CCC S.A. in connection with the negotiation and execution of conditional agreements to acquire minority stakes in Modivo S.A., including those from investors attracted by CCC in 2021 in transaction also advised by Greenberg Traurig (GT press release).
The acquisition will be finalized once certain conditions precedent are satisfied. In accordance with the conditional agreements entered into by CCC S.A., the purchase price of PLN 1.36 billion will be paid by CCC from the proceeds of the planned issue of up to 10 million shares, while approximately PLN 50 million will be paid in the form of subscription warrants, thus determining the total valuation of Modivo S.A. shares to be acquired by CCC S.A., representing a total of 22.81% of the company’s share capital, at approximately PLN 1.41 billion.
