Greenberg Traurig Advises InPost on Acquisition of Remaining Stake in Menzies Distribution Group

LONDON – Oct. 16, 2024 – Global law firm Greenberg Traurig, LLP advised InPost Group on its acquisition of the remaining 70% of Menzies Distribution Group for £60.4 million, giving it 100% control over Menzies’ Express and Newstrade operations.

Menzies’ nationwide logistics capability will give InPost the ability to scale at speed in the UK to match increasing consumer demand – serving the largest e-commerce market in Europe. This acquisition enables InPost to fully control its UK logistics process and investment plan, allowing InPost to compete more effectively in the UK market, including though the launch of a high-quality next-day B2C offering.

Menzies’ third segment, MDS, responsible mainly for full load transport and warehousing, was demerged from Menzies and is not part of the transaction. It will continue to be run by its existing management team and InPost will retain a 30% shareholder stake in MDS.

The Greenberg Traurig team in Warsaw and London comprised Rafał Baranowski, client relationship shareholder and co-head of the Mergers & Acquisitions and Private Equity practices in Warsaw, and Henrietta Walker, shareholder and chair of the London M&A team, with assistance from Corporate Senior Associate Miles Daly and Associate Katey Burke. The wider London team included Real Estate Shareholder Danielle L. Martin, Labor & Employment Shareholder Naomi Feinstein, Banking & Financial Services Shareholder Luke Lado, Tax Shareholder Graham Iversen, Intellectual Property & Technology Consultant Ewen Mitchell, Real Estate Senior Associate Laura Ballard, Real Estate Associate Natalie Simpson Hassell, and Finance Associate Nickie Pickernell.

Walker said, “Having previously advised InPost on its acquisition of a 30% equity stake in Menzies for £49.3 million in 2023, we are delighted to have advised InPost on this subsequent transaction, which enables InPost to fulfil several strategic objectives and secures its position among the UK’s leading parcel locker service providers.”

Baranowski added, “We congratulate our client InPost on this strategic acquisition, which builds on its very strong commercial growth in the UK market.”
