Our Labor & Employment lawyers regularly assist with corporate transactions, referred M&A, restructuring, outsourcing, and related projects. We closely coordinate client needs across practices in areas such as employee benefits, privacy, tax, corporate, private equity, finance, and securities to close the deal, find innovation strategies where unique roadblocks relating to our area of experience are the problem, and provide follow-up advice post-closing. Our team provides full contract and plan review, analysis, issue-spotting, and proposed strategies to virtually any liabilities or vulnerabilities including: dispute resolution provisions, noncompete/confidentiality/trade secret provisions, change in control, and successor provisions, executive compensation and incentive packages, independent contractor/consultant analysis and contracting, labor-management relations (strategic options, successor obligations, union-free strategies, collective bargaining, relationship building, employee information, and persuasion programs), WARN obligations, new hire programs for rank and file, benefit plan, and program transitions in non-union and union settings.
We assist with drafting executive contracts, collective bargaining agreements, employee benefit plans, employment policies and practices (e.g., handbooks), negotiation for non-union, union, and executive agreements, and purchase agreements, including: warranties, representations, adoption, privacy and personnel records, and indemnification provisions relating to labor, employment, and benefits.
