Paweł Długoborski has a broad range of focus, which includes structured finance, financial restructuring, project finance and general lending transactions.
He advises on the complete spectrum of credit health, from healthy credit new money deals (corporate, acquisition and project finance) to refined stretched and/or distressed credit situations, including out-of-court and hybrid restructurings, distressed debt trades, distressed M&A financings and rescue financings.
He has experience advising financiers (lenders, bondholders, insurance companies), borrowers (with PE sponsors and in sponsor-less setups) and investors.

Experience
- Advised a leading European pork and poultry producer on an EUR equivalent of up to USD 500 million revolving credit facility (together with an EUR equivalent of up to USD 500 million uncommitted accordion facilities) to refinance its existing indebtedness and fund its operations and acquisition plans, extended by a syndicate of Polish and international lenders.°
- Advised Santander Bank Polska, BNP Paribas Bank Polska and PKO Bank Polski on providing financing of approx. PLN 620 million for Nowel group, which specializes in the production of part-baked bread, for the purposes of refinancing of existing debt, financing of general corporate purposes, capex and share buy back. The financing was partially secured with a guarantee from the Polish export credit agency.°
- Advised American Heart of Poland (AHP) Group on its PLN 1.57 bilion (approximately EUR 365 million) facilities to finance potential acquisitions and organic growth of AHP. It is the largest financing in the Polish health care sector with a sustainability-linked loan (SLL) component.°
- Advised Enterprise Investors on the financing of the acquisition of a significant minority share in Advanced Protection Systems (APS), the largest Polish independent manufacturer of state-of-the-art anti-drone radars and comprehensive systems. The financing was provided by Bank Pekao.°
- Advised NU-MED Grupa and its subsidiaries, controlled by Enterprise Investors, on a PLN 193.5 million financing from mBank, used to refinance its existing debt and further develop its network of specialist medical centers dedicated to the diagnosis and treatment of oncology patients.°
- Advised Yevuei Shemesh Renewable Energy Group Ltd as sponsor on the PLN 335 million financing extended by mBank and EBRD for the construction and operation of a 48 MW onshore wind farm in south-eastern Poland.°
- Advised PKO Bank Polski on the financing granted to Wind Farm Łada, a company controlled by Re Alloys, and indirectly by Luma Holding, for the construction of the Dzwola onshore wind power project with a capacity of 35 MW. The financing includes an investment loan of €89 million and a VAT working capital loan of PLN 32.3 million.°
- Advised various lenders and sponsors on hedging documents in the context of project finance transactions for the construction of wind farms, PV plants or real estate projects.°
- Advised various lenders on the financial restructuring of indebtedness owed by underperforming shopping centers across Poland, including by way of arrangements for distressed sale & financing processes.°
- Advised PKN Orlen, a Polish oil refiner on its EUR 180 million long term financing provided by the EIB to partially finance the borrower group’s investments supporting its sustainable development.°
- Advised Nexera, an infrastructural telecommunications group, on its over PLN 1 billion financing provided by a consortium of banks – EIB, PKO Bank Polski, Santander Bank, BGK and ING – for refinancing of the group’s indebtedness and investments in development of fibre-optic networks in Poland.°
- Advised commercial banks on a revolving credit facility of up to PLN 1.2 billion for a Polish state-owned oil and gas company.°
- Advised OT Logistics, a Polish logistics company and port operator, on the partial divestment of its shareholding in a Croatian sea port operator to a Polish financial investor.°
- Advised OT Logistics, a Polish logistics company and port operator, on the out-of-court restructuring of its financial indebtedness towards several groups of creditors, including a consortium of commercial lenders, a state bank, holders of listed bonds and holders of privately owned bonds (deal highlighted for complexity and innovative instruments in the 2020 edition of the IFLR Europe Awards for Poland).°
- Advised commercial banks on the out-of-court and in-court financial restructuring of TXM, a company listed on the Warsaw Stock Exchange and owner of a clothing chain and online shopping platform.°
- Advised commercial banks on the out-of-court financial restructuring of Sygnity, a leading company in the IT sector, listed on the Warsaw Stock Exchange.°
- Advised TDJ on the approx. PLN 700 million debt restructuring of the Kopex Group, a key player in the machine manufacturing sector in Poland, listed on the Warsaw Stock Exchange.°
- Advised lenders and bondholders in connection with the financing for Elemental Holding, including by way of revolving credit facilities, term facilities for the purposes of a share buy-back and refinancing of revolving credit facilities.°
- Advised commercial banks on the financing of the acquisition by Cornerstone Partners and Oaktree Capital Management of the IT Kontrakt group (currently Avenga) and subsequent add-on acquisitions of Polish and foreign targets.°
