WARSAW – 29 December 2023 – Greenberg Traurig advised Bogdan and Elżbieta Kaczmarek and private equity fund Innova Capital in connection with the signing of an agreement to acquire 100% of shares in Pfleiderer Polska, in a corporate carve-out transaction from Pfleiderer Group, owned by funds managed by the global investment firm - Strategic Value Partners.
Pfleiderer Polska is a manufacturer of premium engineered wood products, laminates and resins, and has three production facilities, including Pfleiderer Grajewo, Pfleiderer MDF Grajewo and Pfleiderer Wieruszów. The transaction is expected to close in the first half of 2024, subject to regulatory approvals and other customary conditions precedent.
The transaction was led by Partner Rafał Baranowski and Local Partner Filip Kijowski from the M&A Practice. The core team also included Local Partner Maciej Pietrzak, Senior Associate Tomasz Denko and Junior Associate Artur Hammermeister.
Local Partner Maciej Kacymirow and Associate Mateusz Rogulski advised on the tax aspects of the transaction. Partner Robert Gago and Senior Associates Filip Drgas and Anna Celejewska-Rajchert provided antitrust law advice, Counsel Mateusz Koronkiewicz was responsible for the financing aspects of the transaction, and Local Partner Michał Bobrzyński advised on the W&I insurance.
