Kamil Majewski focuses his practice on real estate and corporate law. He advises foreign and domestic investors and developers on real estate sales and acquisitions and related restructurings, financing transactions and asset management projects, as well as on M&A transactions, including joint ventures. His recent work includes advising clients in the office, logistics, residential (private rented sector and student housing), retail and hospitality sectors.

  • Represented Echo Investment in connection with the signing of joint venture agreements with Signal Capital Partners, as the majority shareholder, and Griffin Capital Partners. The JV will provide an investment platform for the development, construction and sale of modern student accommodation in major academic centers in Poland.
  • Represented Ghelamco in connection with the sale of the Crowne Plaza and Holiday Inn Express hotels located in The HUB complex in Warsaw to the French real estate fund Corum XL managed by Corum Asset Management.
  • Represented Madison International Realty, the majority shareholder of Capital Park S.A., in the sale of certain assets of the group as part of a management buy-out co-financed by Europi Property Group, Capital Park’s minority shareholder.
  • Represented Marvipol Development S.A. in connection with the package sale of residential units in the Studio Okęcie development in Warsaw, to the Heimstaden Bostad Group.
  • Represented Echo Investment in the sale of My Place II (Moje Miejsce II) office complex in Warsaw to Trigea Real Estate Fund. The transaction value was EUR 45 million.
  • Represented Patron Capital and Trei Real Estate Poland in connection with the development of a retail parks platform in Poland.
  • Represented Marvipol Development S.A. in the block sale of rental apartments in the second stage of Moko Botanika to the Heimstaden Bostad Group.
  • Represented Marvipol Development S.A. in the sale of 138 residential and non-residential units in the Unique Tower complex, situated at Grzybowska in Warsaw, to the Heimstaden Bostad Group.
  • Represented Marvipol Development S.A. in the block sale of rental apartments in the first stage of Moko Botanika to the Heimstaden Bostad Group.
  • Represented Echo Investment in the sale of MidPoint 71, an office building located in Wrocław, to Trigea Real Estate Fund. The value of the transaction exceeded EUR 100 million.
  • Represented HANSAINVEST Real Assets GmbH in connection with the acquisition of Generation Park Y, the last building of the Generation Park office complex in Warsaw.
  • Represented HANSAINVEST Real Assets GmbH in connection with the acquisition of a logistics portfolio located in Poland, developed by a premium logistics partner.
  • Represented Union Investment in connection with the acquisition of two hotel properties in Katowice (Hotel Mercure) and Kraków (Hotel ibis Styles).
  • Represented Capital Park in connection with the sale of a property to be developed with a residential and commercial project to Marvipol Development.
  • Represented Madison International Realty on a transaction involving the acquisition of shares in the SPV holding Chmielna 89 office building in Warsaw.
  • Represented CP Retail BV, a Capital Park Group subsidiary, on the sale of shares in Dakota Investments sp. z o.o., the owner of Eurocentrum Office Complex in Warsaw.
  • Represented the WING Group, one of the largest privately-owned real estate companies in Hungary, specializing in office, industrial, retail, residential, hotel and special projects primarily in Budapest, on an agreement to acquire Lisala sp. z o.o. from Echo Partners B.V.  Echo Partners is owned by affiliates of Oaktree and PIMCO, and through Lisala it holds 55.95% of the shares of Echo Investment S.A. 
  • Represented Madison International Realty and Ghelamco on the sale of the Warsaw Spire A office building. The value of the transaction was EUR 386 million.
  • Represented Ghelamco on the sale of all shares in the company owning the Wronia 31 office building in Warsaw.
  • Represented Madison International Realty on the acquisition of 46,5% shares in European Logistics Investment, owner of a Polish logistic properties portfolio, from Redefine Properties Limited.
  • Represented Madison International Realty LLP, a global real estate private equity firm, in the indirect acquisition of a majority stake in Capital Park S.A.
  • Advised ISOC Group in connection with the acquisition of the Argon building in the Alchemia III office complex in Gdańsk.
  • Advised Akron Investment Central Eastern Europe II and Heitman, acting as the asset manager, in the sale of the Warsaw Trade Tower office building. 
  • Represented KGAL Investment Management in connection with the acquisition of Spark C, a 10-story office building located in Warsaw at Wola district.
  • Represented CA Immo in connection with the acquisition of Warsaw Spire Building C for ca. EUR 100 million.
  • Represented Fabryka PZO sp. z o.o, a subsidiary of Soho Development S.A., on the sale of a property in Warsaw comprising over 10,000 sq. m.
  • Represented Madison International Realty in connection with the acquisition of 50% of the Warsaw Spire A office building and a joint-venture agreement with Ghelamco Group.
  • Represented SOHO Development, a Polish stock exchange-listed company, in the sale of a development property of over 53,000 sq. m within the post-industrial Soho Factory complex in Praga-Południe, Warsaw.
  • Represented Hansainvest Real Assets in connection with the acquisition of Generation Park X – the first building in the Generation Park complex, a project consisting of three high-quality office buildings in Warsaw.
  • Represented CA Immo in connection with the acquisition of all shares and all rights and obligations of the general partner of Warsaw Spire sp. z o.o. Pl. Europejski 6 S.K.A., a company holding two buildings within the Warsaw Spire office complex: Warsaw Spire B and the Genesis restaurant building.
  • Represented Hansainvest Hanseatische Investment in connection with the acquisition of Atrium 2, an A class office building located in the city center of Warsaw.
  • Represented Galeria Warmińska sp. z o.o. sp.k. in connection with the sale of the Galeria Warmińska shopping center.
  • Advised Altona Investment sp. z o.o. in connection with sale of Browar Piastowski in Wrocław for the purpose of the development of a residential complex.
  • Advised a leading developer in Poland on the EUR 500 million internal restructuring and transfer of real estate throughout Poland.
  • Advised PPP Venture sp. z o.o. (part of the French group Bouygues), as the project company, on the tender for and financing of the refurbishment of Jagiellonian University Collegium Medicum student dormitories in a PPP deal. This was the first PPP project in Poland involving a public university and also the first such venture in the public building sector.˚
  • Advised Deka Immobilien on the EUR 94 million acquisition of Atrium 1, a green A class office building in the heart of Warsaw, from Skanska Property Poland.˚
  • Advised Tristan Capital Partners on the EUR 174 million acquisition of a real estate portfolio consisting of five shopping malls located in Gliwice, Katowice, Kraków, Wrocław and Szczecin from Charter Hall Retail REIT.˚
  • Represented Grupa Żywiec, a listed Polish beer group and a member of Heineken Group, on the sale of a 80% stake in its direct distribution unit Distribev, a beer and beverage distribution business, to the Croatian group Orbico.°
  • Advised AGC Automotive Europe on the acquisition of a 100% stake in NordGlass, a major Polish producer of windscreens for the automotive sector, from Polish Enterprise Fund VI, a private equity fund managed by Enterprise Investments.°
  • Advised Rabobank Group on Polish law aspects of the sale of a 88% stake in Bank Gospodarki Żywnościowej S.A. to BNP Paribas S.A. This was the largest M&A deal in the financial sector in Poland in 2014 (deal value: PLN 4.2 billion).°
