  • Represented the CMA CGM Group, a global sea, land, air, and logistics solutions company, in the acquisition of the GCT Bayonne and New York shipping terminals located in the Ports of New York and New Jersey from Global Container Terminals Inc.°
  • Represented Truelink Capital in the acquisition of Trulite Glass & Aluminum Solutions, one of North America’s largest architectural glass and aluminum fabricators with 35 locations across the United States and Canada.°
  • Represented Innoviva, Inc. (NASDAQ: INVA), a diversified holding company with a portfolio of royalties and a growing portfolio of innovative health care assets, in the sale of its 15% economic stake in Theravance Respiratory Company for approximately $282 million plus full ownership of existing equity investments and the potential for a $50 million milestone payment.°
  • Represented Chart Industries, Inc. (NYSE: GTLS), a leading global manufacturer of highly engineered equipment servicing multiple applications in the Energy and Industrial gas markets, in its acquisition of Cryogenic Gas Technologies, Inc., for $55 million.°
  • Represented Chart Industries, Inc. (NYSE: GTLS) in the acquisition of AdEdge Holdings, LLC, a water treatment technology and solution provider specializing in the design, development, fabrication and supply of water treatment solutions, specialty medias, legacy and innovative technologies that remove a wide range of contaminants from water.°
  • Represented Chart Industries, Inc. (NYSE: GTLS) in a minority investment in Transform Materials, a sustainable chemical technology company that uses microwave plasma to convert natural gas into acetylene and hydrogen, in the amount of $25 million.°
  • Represented Chart Industries, Inc. (NYSE: GTLS) in a minority investment in Cryomotive GmbH for the amount of Euro 6.5 million and related commercial agreement to develop Cryomotive’s cryogenic storage and refueling technology.°
  • Represented Chart Industries, Inc. (NYSE: GTLS) in a minority investment in Earthly Labs, Inc., a provider of small-scale carbon capture systems for the capture, recycling, reuse, tracking and selling of carbon dioxide.°
  • Represented Tall Oak Midstream in the acquisition of Tall Oak Midstream II and Tall Oak Midstream III by Tailwater Capital LLC.°
  • Represented WaterBridge Holdings, a private equity-backed company engaged in the gathering and disposal of produced water, in its acquisitions of produced water infrastructure located in the Southern Delaware Basin from Primexx Energy Partners, Tall City Exploration III and Jetta Permian.°
  • Represented Shinhan Investment, Samtan, EIP Investment and KDB KIAMCO, a South Korean-based consortium of infrastructure investors, in their acquisition of a 50% non-operated ownership interest in the Utopia Pipeline from Riverstone Holdings.°
  • Represented Velocity Midstream Partners, an Energy Spectrum portfolio company, in its $442 million sale of assets to Enable Midstream Partners, LP.°
  • Represented AFI Partners, a Manhattan-based private equity fund, in connection with its acquisition of Wabash National Corporation’s Aviation and Truck Equipment business.°
  • Represented NGL Energy Partners, a midstream MLP engaged in the gathering and disposal of produced water, in a joint venture for produced water operations on the Limestone Ranch in Lea County, New Mexico.°
  • Represented Intel Corporation in its acquisition of UK-based Image Processing Techniques Limited (d/b/a Omnitek), a provider of FPGA solutions for video and AI capabilities.°
  • Represented Great Salt Plains Midstream in connection with its acquisition of Thunderbird Midstream.°
  • Represented a private equity firm in the sale of its portfolio company providing safety, logistics, and planning services supporting projects in the refining and petrochemical industries.°
  • Represented a major automotive and casualty insurance provider in the strategic acquisition of an insurance shell company to expand its offerings.°
  • Represented a private equity portfolio company in its acquisition of an interstate pipeline and a New Mexico crude oil gathering system and related assets from a major upstream oil and gas company.°
