Julia J. Singh focuses her practice on corporate finance transactions, with an emphasis on domestic and cross-border private placements of debt securities, both secured and unsecured. Her clients include insurance companies, pension funds, and other institutional investors.

Julia also has wide-ranging experience serving as bond counsel for several housing finance agencies in connection with single family and multi-family housing bond financings, underwriter’s counsel to a number of investment banking firms in connection with the offering and sale of municipal securities, and as counsel to banks providing credit enhancement or liquidity support for various financings.

  • Acted as investors’ counsel in connection with the following private placements:
    • Represented institutional investors in connection with $750 million debt financing with respect to the acquisition of a portfolio of 13 hydroelectric projects totaling approximately 400 MW located in the Northeast, including one of the largest conventional hydroelectric stations in the Northeast.
    • $1 billion guaranteed senior note offering of a U.S. wholesale distribution company.°
    • $825 million guaranteed senior note offering of a Canadian waste disposal company.°
    • €500 million guaranteed, secured senior note offering of a German railcar company.°
    • $500 million guaranteed, secured senior note offering of a U.S. food and beverage distribution company.°
    • $500 million guaranteed, senior note offering of a Wisconsin manufacturer of power transmission and general solutions.°
    • $400 million senior note offering of an operator of global exchanges and clearing house.°
    • $300 first mortgage bonds of an electric generation and transmission cooperative headquartered in Virginia.°
    • $300 million guaranteed senior note offering of an Australian provider of professional services.°
    • $100 million first mortgage bonds of a Canadian natural gas distributor.°
    • $100 million first mortgage bonds of a New Jersey natural gas distributor.
    • Issuance of senior secured notes relating to a natural gas storage facility located in Alaska.°
    • Issuance of senior secured notes relating to renewable energy power stations in New York.°
  • Served as special counsel to a California engineering and construction corporation in connection with several financings and transactions, including the issuance of guaranteed, secured senior notes, the entry into various credit and loan agreements, and the provision of collateral and guaranties to senior creditors.°
  • Served as special counsel to a special purpose entity (SPE) created by a bank to issue guaranteed investment contracts (served as counsel in the creation of the SPE and represented the SPE in connection with the entry into more than 100 guaranteed investment contracts).°
  • Represented an equipment finance company in connection with its sale of a $450 million pool of municipal leases.°
  • Served as special counsel to a national leasing and equipment finance company in connection with the acquisition and disposition of $15 billion of leasing equipment.°
