  • Representation of a live entertainment company in connection with the negotiation of a joint venture with a European events and ticket agent for the producing, promoting, and ticketing of concert tours and other live arena events throughout Europe.
  • Representation of a developer in connection with the acquisition, financing, and negotiation of a joint venture for the development of a co-living residential project in Wynwood, a neighborhood in Miami, Florida.
  • Representation of a wireless communication infrastructure developer in the negotiation of a joint venture with a network operator for the construction and sale of communications towers throughout the U.S.
  • Representation of one of Miami’s largest residential developers in the acquisition, financing, and negotiation of joint ventures for the development of mixed-use projects in Florida and Arizona.
  • Representation of one of Miami’s largest residential developers in the negotiation of an approximately $139 million refinance and joint venture for the redevelopment of a luxury condominium project in Fort Lauderdale, Florida.
  • Representation of a private REIT, in securing $66.5 million in construction financing for the development of a 9-story residential tower with 160 rental units in the heart of San Francisco’s Mid-Market area.°
  • Representation of a private investment firm in connection with a $550 million loan secured by a portfolio of 550 commercial properties located in 37 states.°
  • Representation of an investment bank in an $80 million first mortgage loan for the acquisition, construction, and development of a hotel complex in Washington, D.C.°
  • Representation of a real estate investment firm in the acquisition of two resorts in St. Pete Beach, Florida.°
  • Representation of clients in connection with the structuring and offering of interests in multiple real estate investment funds from $10 million to $250 million focused on areas including distressed single and multi-family residential assets, hotels and resorts in the U.S. and Caribbean, and core plus and value-add office and retail.°
  • Representation of a developer in connection with the acquisition, financing, and development of a multi-phased retail and resort project in Kissimmee, Florida.°
  • Representation of a development group in connection with the negotiation of joint ventures for and the financing and development of a retail and residential project in Miami, Florida.°

  • Representation of clients engaged in the real estate and hotel industries in connection with their acquisition, sale, and financing of commercial real estate and their entry into joint ventures with various institutional investors, including private equity funds, hedge funds, and alternative investment managers, for single asset or portfolio acquisitions or for the establishment of real estate acquisition platforms.°
  • Representation of a client in connection with an acquisition for a purchase price of approximately $57 million, net of cash acquired. The acquisition expands the client’s retail confectionary footprint.°
  • Representation of a real estate investment trust in connection with a sale-leaseback portfolio mortgage and mezzanine financing totaling approximately $53 million.°
  • Representation of one of the largest publicly traded real estate investment trusts on leasing issues in connection with a stock-for-stock transaction with another REIT resulting in aggregate asset value of $7.7 billion.°
  • Representation of a joint venture in its acquisition of a shopping center in Riviera Beach, Florida, and the financing for the acquisition. The center comprises several low-rise ocean-front buildings on leased land.°
  • Representation of a hotel management company in the acquisition and negotiation of a joint venture for a resort in Missouri, which included a 27-hole golf course and marina. The transaction included several ground leases as well as the successful negotiation of a license agreement.°
  • Representation of a real estate investment company in the $50,000,000 refinance of a retail component in Miami, Florida.°
