Elisabetta Nicolì focuses her practice on corporate law, advising Italian and international clients, including companies operating in the oil and gas, pharmaceutical, financing and industrial sectors, on acquisitions, mergers, restructurings, and private equity transactions, as well as on a wide range of related corporate matters, and corporate governance issues.

She advises Italian and international clients on regulatory profiles in connection with the involvement of the Italian Banking Authority for financial intermediary and financial institutions.

She has also gained a deep experience in drafting and negotiating a wide variety of contracts for corporate clients relating to domestic and cross-border transactions.

  • Assisted a Lux Company in (i) the sale of 100% of LDO share capital to Opocrin S.p.A. (an Italian pharmaceutical company), together with its controlled companies (Italian, Luxemburg, Mexican and Chinese), and (ii) in its re-investment in the Company of the Buyer (an Italian pharmaceutical company), which has been realized both by means of equity and hybrid instruments subscription.
  • Assisted a British investment fund in the acquisition of the 80.1% shares of an Italian consumer credit company previously totally owned by an Italian financial institution, and the relevant filing of the Bank of Italy Authorization for financial intermediary.°
  • Assisted a German company, leader in the production of coffee, in the acquisition of the entire share capital of a medium-sized Italian company specialized in raw caffeine processing.°
  • Assisted one of the leading Austrian Auction House in the acquisition of pawnbroking business branch from one of the primary Italian banking group.°
  • Assisted one of the most important international e-commerce companies in the acquisition of the entire share capital of an Italian software house company.°
  • Assisted a Mexican delphinarium company in the acquisition of the 100% of the shares of an Italian company owner of one of the most important water park located near Rome.°
  • Assisted an international company - leader in the development of navigational information, planning tools, flight planning products and software – in the acquisition of an Italian company specialized in the development of software of digital maritime cartography, data services and other navigational information.°
  • Assisted a leading international company in the food and beverage sector in the acquisition of the Italian company, owner of a well-known brand of frozen food products, from a British private equity fund.°
  • Assisted an International “industrial company” specialized in production of steel products in a joint venture with another US primary competitor of steel sector.°
  • Assisted an Italian company – leader in the sportswear – in the selling of the entire share capital to a Chinese company leader in the same market, and listed on the Hong Kong Stock Exchange.°
