Samuel L. Moultrie focuses his practice on complex corporate and commercial litigation and counseling, with more than a decade of experience representing business entities, officers, directors, and investors in the Delaware Court of Chancery, the Delaware Superior Court, and the U.S. District Court of the District of Delaware, as well as other Delaware courts. Sam also regularly advises business entities, boards of directors, and special committees on various issues of Delaware law and corporate governance, including providing strategic advice on corporate and fiduciary litigation. Sam also represents clients in cases involving contractual disputes, books and records demands, trade secrets, tortious interference, and other related claims.
Sam also collaborates with clients to mitigate litigation risks by advising on Delaware law issues during the negotiation and drafting of agreements or transactions across various industries and business sectors.

- Representation of a corporation and board of directors in class and derivative action brought by shareholder for breach of fiduciary duties.
- Obtained a temporary restraining order against Defendants preventing shut down Plaintiff’s reward card accounts under a theory of breach of implied covenant of good faith and fair dealing. Global Rewards, LLC v. The Bancorp Bank, C.A. No. 2023-0323-JTL (Del. Ch.).
- Secured dismissal of all claims against third-party defendant US Data Mining Group, Inc.-US Bitcoin Corp. (Bitcoin) on jurisdictional grounds. Blockfusion USA, LLC v. Property Holdings Portfolio, LLC, et al., C.A. No. 2021-0037-SG (Del. Ch.).
- Obtained three separate temporary restraining orders and a subsequent preliminary injunction against defendant for various breaches of non-compete and non-solicitation provisions. Am Holdco, Inc. v. David Cappelletti, C.A. No. 2020-0334-PAF (Del. Ch.).
- Obtained dismissal of breach of fiduciary claims, among others, against defendants in connection with the bidding and ultimate award of operation of a local television station. Leased Access Preservation Association v. Ivan Thomas, et al., C. A. No. 2019-0310-KSJM (Del. Ch.).
- Representation of Delaware corporation in Section 220 trial in the Court of Chancery involving production of books and records resulting in decision denying production.
- Representation of plaintiff in case involving claims for breach of fiduciary Largo Legacy Group, LLC v. Charles, C.A. No. 2020-0105 MTZ (Del. Ch.).
- Representation of health care entity in prosecution of breach of contract and earnout claims related to the sale of a business in Delaware Chancery Court.
- Representation in appraisal action and companion fiduciary duty litigation of parent company entities of a buyer of silicone and minerals manufacturer in a $4 billion transaction. MPM Holdings Appraisal and Stockholder Litigation, Consol. C.A. No. 2019-0519-JTL (Del. Ch.).
- Represented former executive of financial institution in a white collar criminal prosecution, SEC investigation, and a federal class action securities fraud case.°
- Represented client in prosecution of breach of fiduciary duty case involving a two-step scheme concluding in a freeze-out merger of minority shareholders.°
- Represented client in prosecution of breach of fiduciary duty case involving a self-tender and subsequent freeze-out merger of minority shareholders.°
- Recovery in excess of $1 million for shareholder and six-figure attorneys’ fee for supplemental disclosures in minority freeze-out merger of micro-cap company.°
- Defense of a lender and individual principal in case involving allegations of fraud and fraudulent transfer of assets.°
- Representation of investment firm in statutory appraisal proceedings in Court of Chancery.°
