Paul R. McIntyre is a Shareholder in the firm’s Environmental Practice. He represents leading private equity funds, institutional investors, and real estate developers and managers in the identification, evaluation, and mitigation of environmental risks and liabilities. Primarily a transactional attorney, Paul possesses a reputation for helping to craft practical, business-oriented insights that help mitigate risk and enabling deals to close.

Paul represents clients in the acquisition, development, financing, and sale of commercial real estate. He also provides clients with environmental counseling in corporate mergers and acquisitions, and similar business transactions. Paul has worked on the environmental aspects of more than 1,000 deals during his career, and is known for being a responsive, professional, and courteous practitioner. He regularly advises clients as to the practical and potential impacts of environmental conditions on site development plans, financing terms, and exit sales. His work involves:

  • Assisting clients in developing environmental diligence, regulatory compliance, and remediation strategies and protocols.
  • Engaging project-specialized consultants and contractors on behalf of clients under preferred terms.
  • Drafting and negotiating environmental provisions in service contracts, purchase & sale agreements, and loan documents.
  • Navigating state and federal cleanup programs to obtain regulatory closure and releases of liability.
  • Placing environmental insurance to help secure environmental obligations and mitigate potential risks.

While rooted in Philadelphia, Paul’s practice is multi-jurisdictional and global in scope, supporting clients acquiring, operating, and selling property and facilities across U.S. gateway markets. He also regularly assists clients conducting environmental diligence in support of the acquisition of commercial property and operating industrial facilities in the United Kingdom, European Union, and Asia. Paul’s work also extends to climate risk assessments and corporate environmental, social, and governance (ESG) in corporate transactional matters.

Paul frequently presents at seminars and conferences on environmental topics pertaining to environmental diligence, remediation strategies, and environmental insurance.

Experience

  • Oversaw environmental diligence and regulatory compliance work in more than 100 transactions in 2023 involving the acquisition, financing, leasing, and/or sale of industrial, office, warehousing, multi-family residential, and resort properties, including:
    • Supporting a client’s equity investment in and subsequent financing of a major U.S. ski resort.
    • Representing clients acquiring and completing brownfield remediation and redevelopment projects in New York, New Jersey, Pennsylvania, North Carolina, South Carolina, Florida, Texas, and California. Work entailed assistance with enrolling in voluntary cleanup programs, securing project permitting, and the retention of consultants to prepare and oversee the implementation of approved Remedial Action Plans. 
    • Leading the environmental diligence team supporting a client’s acquisition of a highly regulated specialty chemicals manufacturing company with production facilities in Illinois, Texas, Louisiana, the United Kingdom, and Germany. Also assisted with placement of Reps & Warranties insurance.
    • Representing clients in both the purchase and sale of property in Connecticut and New Jersey that triggered compliance obligations under the Connecticut Transfer Act and New Jersey Industrial Site Recovery Act (ISRA), respectively. Work entailed negotiating agreements, allocating costs and responsibly for associated work, and the preparation and submission of associated regulatory forms and filings. 
    • Representing a client in its acquisition and reuse of a closed former landfill in Colorado for industrial outdoor storage, inclusive of overseeing the preparation and approval of a new post-closure monitoring plan.
    • Helping to design, implement, and assess the results of Phase II and vapor intrusion investigations at multiple properties, and to evaluate remediation and compliance obligations and options.
  • Negotiated the placement of site-specific environmental insurance policies for clients from a variety of major carriers. Assisted several real estate funds with the design and placement of master portfolio environmental insurance programs. Negotiated the acceptance of insurance coverage in lieu of fund level or personal financial guarantees. Successfully utilized environmental insurance to satisfy NJDEP financial assurance obligations associated with engineering controls and deed notices.
  • Evaluated the impact of NYC Local Law 33 relating to Building Energy Efficiency Rating labels on a portfolio of multi-family buildings.
  • Assisted clients with the development and implementation of hazardous materials surveys, operations and maintenance (O&M) plans, and prevention plans related to storage tanks, vapor and radon mitigation systems, asbestos, lead paint, legionella bacteria, and mold.
