David focuses his practice on a broad range of complex commercial real estate transactions, including joint ventures, development deals, construction and permanent financings, acquisitions, and dispositions. David also has deep experience in leading portfolio transactions and in drafting and negotiating ground leases for development sites.

  • Represented a Philadelphia-based REIT in a CMBS portfolio mortgage financing, and also a CMBS mortgage refinancing of two prominent office buildings. Transaction sizes were $245,000,000 and $220,000,000 respectively, and both transactions had short execution windows. Representation consisted of negotiation of loan documents as borrower’s counsel, as well as general due diligence related thereto.
  • Represented one of America’s wealthiest family office companies in connection with the development of multiple industrial buildings located throughout the United States. Transaction size of approximately $50,000,000 to $100,000,000 per development. Transaction duties included negotiation of construction loan documents as borrower’s counsel and general due diligence related thereto. Transactions often involve build-to-suit projects for national retail and e-commerce tenants.
  • Represented a Philadelphia-based REIT in the $383,000,000 joint venture acquisition of a prominent office building and the related mortgage financing. The acquisition included acquiring interests in an existing private REIT.
  • Represented a regional real estate developer in the $215,000,000 acquisition and financing of a 30+ property portfolio of industrial properties located throughout southeastern Pennsylvania. Representation also included a joint venture with a global private equity firm. Transaction duties included negotiating the portfolio purchase agreement and joint venture documents, providing counsel on deal structure, and quarterbacking due diligence efforts.
  • Represented a Chicago-based real estate investment fund and a New York-based real estate developer in the round-trip joint venture acquisition, financing, and later disposition of a 30+ property portfolio of industrial properties located in southeastern New Jersey.
  • Represented an institutional investor holding REO in the restructuring of a ground lease to permit redevelopment. Transaction duties included drafting and negotiating restated ground lease and general due diligence related thereto.
  • Represented a Philadelphia-based real estate private equity company in connection with its acquisition and planned redevelopment of an industrial project located near the Philadelphia airport. Transaction value of approx. $180,000,000.
  • Represented a Chicago-based real estate investment fund in the joint-venture acquisition and ground-up development of multi-family projects in Philadelphia, Pennsylvania and Austin, Texas. Transaction duties included negotiation of joint venture and construction loan documents, and also performing general due diligence.
  • Represented a New York-based real estate developer as borrower’s counsel in a securitized financing for the acquisition of a portfolio of industrial properties located throughout the northeast.
  • Represented the subsidiary of a major life insurance company in various acquisition joint venture and development transactions pertaining to office, industrial and mixed-use projects located throughout the United States.
  • Represented a life insurance company in the origination of a mortgage loan secured by office and amenity space in a mixed-use planned unit development.
  • Represented a Chilean real estate investment firm in a joint-venture investment for ground up multifamily development.
  • Represented a private real estate bridge lender in mortgage loan transactions in southeastern Pennsylvania and southern New Jersey.
  • Represented an institutional investor in the recapitalization of multi-family projects in Florida.
  • Represented a Philadelphia-based real estate private equity company in the workout of a dispute with an anchor tenant.
  • Represented a publicly traded REIT in numerous acquisition and disposition transactions throughout the tri-state area, including the negotiation of a portfolio transaction and the sale of the headquarters of a multinational pharmaceutical company in the Philadelphia Navy Yard.°
  • Represented a private real estate fund in a drop and swap acquisition of three condominium units owned by New Jersey urban renewal entities.°
  • Represented a private equity firm in the acquisition and financing of an office building subject to a condominium regime.°
  • Represented a life insurance company in the joint-venture acquisition of a multifamily project located in the Philadelphia Main Line.°
  • Represented a private real estate fund in the acquisition of multifamily housing projects and the financing and refinancing of the same through Freddie Mac and Fannie Mae.°
