Jennifer Sagarduy is a member of the Corporate Practice in Greenberg Traurig's Miami office. She advises public and pre-IPO companies on capital markets and corporate governance matters and compliance with securities laws. She represents issuers in a range of financing transactions, including equity and debt offerings and private placements. Jennifer advises clients on a wide variety of securities laws and governance matters, including drafting and reviewing annual, periodic and current reports and proxy statements, compliance with SEC/stock exchange rules, as well as with respect to day-to-day operational matters.

She also has experience in domestic and cross-border corporate matters, including mergers and acquisitions and special purpose acquisition companies.

  • Represented The Music Acquisition Corporation (NYSE: TMAC) in its $200 million initial public offering
  • Represented H.C. Wainwright & Co. as underwriter in connection with a $30 million offering of American Depositary Shares by BioLineRx Ltd. (Nasdaq: BLRX).
  • Representation of Verdantas LLC, an environmental consulting firm and portfolio company of Miami-based private equity firm RTC Partners, in its acquisition of another environmental consulting firm.
  • Represented US Data Mining Group, Inc. dba US Bitcoin Corp., a builder and strategic operator of Bitcoinmining centres across the United States, in an all-stock merger of equals with Hut 8 Mining Corp. (Nasdaq: HUT) (TSX: HUT), a large, innovation-focused digital asset mining pioneer and high performance computing infrastructure provider.
  • Represented Recognize Partners in its acquisitions of Moove IT and DecemberLabs, leading custom software and development providers, and their combination to become Qubika, a global leader in digital transformation for enterprises.
  • Represented Nuvo Group Ltd. (Nasdaq: NUVO), a remote pregnancy care innovator, in its business combination with LAMF Global Ventures Corp I.
