Daniel K. Donahue has more than 20 years of private practice experience in the corporate and securities areas, preceded by six years of experience as a staff attorney with the Securities and Exchange Commission (SEC). Dan focuses his practice on corporate finance, mergers and acquisitions and general corporate law.
During his six years as a staff attorney with the SEC, Dan spent equal time in both the Division of Enforcement and the Division of Corporation Finance. In his private practice, Dan has securities and transactional experience with clients in the United States, Asia and Europe. His experience spans the representation of issuers and investment bankers in financing transactions, including initial public offerings, secondary offerings, private placements, venture capital financings and strategic alliances. He has regularly represented clients in mergers, acquisitions and dispositions of both public and private companies and advised management regarding fiduciary and disclosure obligations, preparing and negotiating transaction documentation and complying with corporate, securities and takeover laws.
