Sal focuses his practice on corporate finance and related matters, representing public and private borrowers, private equity sponsors and their portfolio companies, bank and direct lenders, lead arrangers and other financing sources in connection with syndicated and bilateral loan financings, including senior secured financings, first lien, second lien, mezzanine, asset-backed, unsecured, acquisition and bridge financings.

  • Represented an ad hoc group of lenders of a leading global bioanalytical laboratory involved in projects across all phases of drug development for pharmaceutical and biotechnology organizations, in connection with its amendment of its credit agreement to increase the facility amount by $50 million and secure an additional $50 million of junior capital funded by existing shareholders.°
  • Represented an ad hoc group of term loan lenders and noteholders of GoTo Group, a provider of software as a service and remote work tools for business and IT, in connection with an uptier debt exchange and maturity extension involving $2.1 billion of term loans, $950 million of secured notes, and $100 million of new money term loans.°
  • Represented an ad hoc group of first lien lenders of OTG, a leading operator of airport concessions, in its successful out-of-court restructuring.°
  • Represented a regional bank in connection with a refinancing of the credit facility of its strategic partner, Sunlight Financial, a leading point-of-sale finance company advancing the clean energy transition with technology-driven solutions.°
