Joseph J. Curran focuses his practice on U.S. federal income taxation of corporations, s-corporations, and partnerships, including the tax consequences of taxable and tax-free mergers and acquisitions, bankruptcy and insolvency restructurings, joint ventures, and debt and equity financings. Joseph advises issuers and underwriters in public and private equity and debt offerings, and he has experience advising emerging companies, private equity firms, portfolio companies, and tax-exempt organizations.

  • Represented Rotunda Capital Partners in its acquisition of Siegel Egg Co., a leading wholesale distributor of bakery ingredients and other food products throughout New England and New York.
  • Represented Rotunda Capital Partners in its acquisition of Canter Power Systems, a Generac Power Pro Premier dealer and one of the largest independent installers of home standby power generators in the United States.
  • Represented Rotunda Capital Partners in its acquisition of U.S. Waterproofing, Chicagoland’s premier provider of basement waterproofing and foundation repair service.
  • Represented Entrepreneurial Equity Partners in connection with its acquisition of Organic Milling Inc., a leading contract manufacturer of cereal, granola, snacks, and ingredients for leading brands and private label customers.
  • Represented New Mountain Capital on its sale of Alteon Health, a leading provider of outsourced health care practice management services to emergency departments, hospitalist programs, and hospital-based urgent care centers
  • Representation of Clearlake Capital Group in its investment in Concert Golf Partners, a boutique operator of private golf and country clubs.
  • Lincolnshire Management in connection with the acquisition of CrossCom National, a provider of distributed technologies solutions in automotive, hospitality, restaurant and retail locations that utilize operating and infrastructure systems.
  • Representation of Omnitracs, a complete fleet management platform and portfolio company of Vista Equity Partners, in the acquisition of Omnitracs by Solera Holdings.
  • Represented Samyang Holdings in the acquisition of U.S.-based specialty chemical manufacturer Verdant Specialty Solutions from private equity firm OpenGate Capital. The total acquisition was approximately US$250 million.
  • Represented Crestview Partners in connection with the acquisition of Emerald EMS, an electronics manufacturing services provider specializing in high-mix, low-volume engineering, design, prototyping, testing, assembly and lifecycle support services for blue-chip original equipment manufacturers across a range of end markets.
