Giuliano Apadula focuses his practice on evaluating, managing, and mitigating large-scale environmental risks for the acquisition, sale, development, and financing of real estate and businesses nationwide. He employs a pragmatic approach in counseling clients on environmental issues by evaluating the business impact of each issue and crafting bespoke strategies, including contractually allocating and insuring environmental liability. Giuliano routinely negotiates, structures and drafts specialized environmental insurance programs and complex agreements that form the basis of the risk transfer process. He negotiates the placement of equity and debt for projects that would otherwise struggle because of onerous environmental liabilities, and he addresses environmental obstacles in merger and acquisition transactions.

His clients include private equity companies, institutional investors and real estate developers, with engagements that involve not only traditional corporate and real estate transactions, but also specialty transactions such as the redevelopment of landfills, military bases, and industrial facilities. His value-add environmental practice centers on practical efficiency, with the goal of helping clients resuscitate deals on the verge of collapse due to environmental impediments.

  • Represented a city in California in the management of its environmental risk as owner of a closed municipal landfill undergoing an $8 billion redevelopment project.
  • Represented various developers of brownfield projects in connection with the acquisition, development, financing and sale of contaminated real estate, including projects in New Jersey, Pennsylvania, Florida, Colorado, New York, Texas, Ohio, California, Massachusetts, Georgia and many other states.
  • Represented private and publicly traded purchasers of environmentally high-risk businesses in the management and formulation of environmental due diligence and risk management programs, including for the following businesses: pest control, airport operators, marine terminal (including the ground lessee of a long-term lease from the local economic development company at the South Brooklyn Marine Terminal in Brooklyn, New York), chemical manufacturing and heavy industrial.
  • Represented developers and corporations in negotiating and manuscripting site-specific and portfolio environmental insurance products, including pollution legal liability, integrated risk and contractors pollution policies.
  • Represented owners and contractors in developing, drafting and insuring guaranteed fixed price to closure agreements, including a responsibility party of one of the nation’s largest Superfund cleanup projects at Wisconsin’s Lower Fox River and Green Bay Site.
  • Represented various lenders and equity funds in structuring, negotiating and documenting complex brownfield financings and joint venture transactions to acquire, develop and insure contaminated real property, including a large industrial portfolio with multiple state and federal superfund properties.
