WARSAW – 21 June 2024 – Greenberg Traurig advised Agora S.A. on the signing of the share purchase agreement with SFS Ventures s.r.o., on the basis of which Agora purchased the remaining shares in the share capital of Eurozet Sp. z o.o. The acquired shares constitute the remaining 49% of the share capital of Eurozet and represent 49% of the total number of votes at the Eurozet’s shareholders’ meeting.
As a result of the share purchase agreement, and upon payment of the purchase price for the shares, Agora became the sole shareholder in Eurozet.
Greenberg Traurig provided Agora with comprehensive legal advice on all aspects and stages of this complex acquisition, which included the acquisition of a 40% stake in Eurozet, negotiation of a shareholders’ agreement with its majority shareholder SFS Ventures, obtaining a favourable ruling from the Court of Appeal in Warsaw granting unconditional antimonopoly clearance for the transaction and the acquisition of a controlling stake in Eurozet.
The transaction was led by Partner and Co-Head of M&A Practice Rafał Baranowski who was supported by Local Partner Filip Kijowski and Senior Associate Tomasz Denko.
