Jakub Walawski focuses his practice on banking and finance. He advises Polish and foreign banks, banking syndicates and borrowers on project finance, acquisition finance, financing of PPP projects and financing or refinancing of acquisition and construction of real estate projects. He assists in preparing and negotiating facility documents, in particular LMA standard loan documentation, term sheets, intercreditor agreements and security documents. He provides legal advice on cross-border projects and supports financial institutions and borrowers from jurisdictions worldwide. Jakub also focuses in financing of renewable energy projects, including energy projects with support of the auction system. He advised on financing of some of the biggest onshore wind farms and portfolios of PV power plants. He also worked on bond issues, provided corporate assistance to commercial companies and performed analyses under property law.

Experience

  • Advised EBRD and Eiffel Investment Group in connection with a pioneering bridge loan of EUR 45 million to support the construction and operation of a portfolio of 16 solar photovoltaic power plants with a total capacity of 114.7 MW across Poland, developed by PL-SUN. The loan consisted of equal contributions of EUR 22.5 million from each institution and is the first project co-financed under a new partnership between Eiffel and EBRD, aimed at accelerating the green transition in Central and Eastern Europe.°
  • Advised DNB and mBank in connection with a EUR 90 million revolving credit facility extended to Greenvolt Power, a company belonging to Greenvolt Group, for the construction of wind farms and large-scale photovoltaic projects in Poland.°
  • Advised DNB Bank Polska, EKF (Denmark’s Export Credit Agency) on a multimillion financing granted by the consortium to an SPV belonging to Uriel Renovables and Mirova for the construction of a wind farm in the northern Poland with a total capacity of more than 144.9 MW.°
  • Advised Bank Gospodarstwa Krajowego on PLN 140 million financing of construction and equipping of a hospital in Żywiec, Poland. The project was executed in the public-private partnership formula (PPP).°
  • Advised a syndicate of six banks, including EBRD, Bank Pekao and DNB Bank Polska, on the financing granted to Potęgowo Mashav for the construction of the 220 MW wind farm in Potęgowo. The total cost of the investment is PLN 1.25 billion (EUR 290 million). It is the biggest onshore wind power project in Poland.°
  • Advised the consortium of three German banks, Helaba, Deutsche Pfandbriefbank, Berlin and Hyp, on EUR 370 million refinancing of the Warsaw Spire office complex.°
  • Advised a leading Polish bank, in result of a merger of the borrowers, on facility documents related to PLN 300 million financing of three wind farm projects.°
  • Advised Kommunalkredit on a EUR 23 million loan extended to Green Genius, company belonging to Modus Group, to refinance the existing indebtedness of 11 biogas power plants with a total capacity of 10.8 MW located in Lithuania.°
  • Advised a consortium of two German banks on a EUR 100 million refinancing related to office complexes owned by a leading real estate investment company in the SEE and CEE regions.°
  • Advised Korporacja Inwestycyjna Polskiej Farmacji on the facility documentation related to refinancing of tender offer for the sale of 100% of shares in Pelion. It was one of the largest tender offers for shares of a company listed on the Warsaw Stock Exchange in 2017.°
  • Advised a leading Polish bank on EUR 32 million financing related to development of a modern A-class office building granted to a special purpose vehicle owned by international development group and supporting in preparation of a due diligence report for this project.°
