WARSAW – July 18, 2019 – Greenberg Traurig represented private equity fund Innova/6 in the acquisition of two companies: Drukarnia Embe Press S. Bezdek M. Mamczarz sp. z o.o. (“Embe Press”) and „CHEMES M. SZPERLIŃSKI” sp. z o.o. (“CheMes”).
As a result of the first transaction, the Innova/6 fund acquired a majority stake in Embe Press. The founders of Embe Press, Sławomir Bezdek and Marian Mamczarz, will remain minority shareholders in the company and will support its further development as supervisory board members. In the second transaction, the Innova/6 fund acquired all of the shares in CheMes.
Greenberg Traurig lawyers advised Innova Capital on all aspects of the transactions related to the acquisition of Embe Press and CheMes respectively. The scope of legal advice included the structuring of the transactions, legal due diligence, negotiating the transaction documents and closing. Greenberg Traurig also provided assistance to Innova Capital with respect to the financing related to the transactions, the proceedings before the President of the Polish Antimonopoly Authority (UOKiK) as well as in the process of structuring the capital group, which includes both acquired entities, and acquisition of their shares by a holding company of Innova/6.

Senior Associate Radosław Pawluk and Associate Agnieszka Stopińska advised on control of concentration issues and proceedings before the President of the Polish Antimonopoly Authority.
