WARSAW – 21 June 2022 – Greenberg Traurig acted as legal advisor to HDI International AG and Meiji Yasuda Life Insurance Company in connection with the acquisition of the remaining shares in Towarzystwo Ubezpieczeń Europa S.A. from Getin Holding S.A. and Getin Noble Bank S.A.
As part of the transaction, Meiji Yasuda purchased 705,079 shares in TU Europa from Getin Holding, representing 7.46% of the share capital of TU Europa, and 858,334 shares in TU Europa from Getin Noble Bank, representing 9.08% of the share capital of TU Europa. In addition, Meiji Yasuda, HDI International, Getin Holding and Getin Noble Bank terminated certain existing arrangements.
As a result of the transaction, Getin Holding and Getin Noble Bank ceased to be shareholders of TU Europa. HDI International holds 50% plus one share in the share capital and 50% plus one vote in the total number of votes in TU Europa, and Meiji Yasuda holds 50% minus one share in the share capital and 50% minus one vote in the total number of votes in TU Europa.
The transaction was led by Local Partner Michał Bobrzyński and Partner Łukasz Pawlak, who were supported by Associates Dawid Malinowski and Łukasz Chmura.
Towarzystwo Ubezpieczeń Europa S.A. has operated for more than 25 years, offering customers a variety of insurance products, which include life and property insurance, such as property, sports, travel, and phone screen insurance. In 2019, insurance companies operating under the Europa Ubezpieczenia brand collected more than PLN 800 million in gross written premiums (according to the PSR).
