The scope of our services involves a variety of matters, including M&A transactions involving the acquisition or sale of financial institutions, regulatory issues impacting their operations, as well as compliance and enforcement.
Our key areas of focus include:
- Financial Institutions M&A: GT Warsaw advises on mergers, acquisitions and disposals of – and investments in – all types of financial institutions. GT Warsaw has participated in the most important bank M&A deals in Poland, including transactions consisting in the acquisition of shares and organized parts of businesses in spin-off transactions, in the context of both public and private M&A. We also support our clients in navigating and managing the related regulatory and operational aspects of structuring such transactions.
- Regulatory Requirements: GT Warsaw advises financial institutions on a variety of important regulatory matters. Our firm has exceptionally broad experience in dealing with the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego) and other regulatory bodies. We have assisted several financial institutions in restructuring or adapting their business in response to regulatory changes. Our attorneys have been involved in the establishment of new financial businesses in Poland and the provision of services by financial institutions in Poland on a cross-border and branch basis. We provide our clients with advice on the development of Polish and EU legislation and policies relating to financial institutions.
- Corporate Governance: GT Warsaw provides advice to management and supervisory boards on a wide range of corporate governance matters and issues relating to governance structures, operations, policies and best practices of financial institutions. - Prudential Requirements: We have advised our clients on the applicable own funds requirements, including the CRD IV/CRR and BRRD requirements applicable to banks.
