Marc Ochs is a member of the Litigation and Latin America Practices in Greenberg Traurig’s New York office. Marc’s experience covers a broad range of areas including investigations and arbitration, white-collar representations, internal investigations, complex commercial disputes, government enforcement investigations, and securities and commodities fraud. Marc also has previous experience with multi-district litigation, class actions, and the coordination of related actions in federal courts across the country, as well as with alternative dispute resolution.

In addition, Marc has corporate experience with complex structured financings, including notes offerings under Rule 144A and Regulation S and private placements under Section 4(a)(2) of the Securities Act, with a focus on Latin America, offering a unique perspective in relation to his white-collar matters.

  • Represented a Chilean renewable energy developer in the restructuring of its existing liabilities resulting in a pre-pack Chapter 11 proceeding, resulting in the issuance of US$264 million of take-back senior secured notes, US$14 million of super priority notes and US$160 million of convertible notes.
  • Represented Nautilus US Power Holdco (Nautilus Solar) in a $202 million U.S. debt private placement to refinance 58 operating projects totaling 186 MW.
  • On behalf of an investment banking client, organized materials and assessed control data in preparation for a federal exam regarding foreign exchange trading. Reviewed trade materials to assure compliance with company policies and federal regulations.
  • Represented special purpose acquisition company (SPAC) issuers in connection with initial public offerings raising over $150 million of gross proceeds.
  • Represented public entities in connection with ongoing corporate governance, securities compliance and other matters.
  • Obtained a complete defense verdict following a two-week trial in July 2021 in a multimillion-dollar action involving cardiovascular intravascular device against our client, a medical device manufacturer of numerous life-saving devices and products.
