Stephanie Li's practice focuses on the financing, acquiring, and developing of energy and infrastructure projects and her experience spans Asia, the United Kingdom, Europe, the United States, Africa, and Latin America.

Based in Singapore since 2017, Stephanie advises investors, sponsors, export credit agencies, commercial lenders, and bilateral and multilateral agencies in connection with financing, acquiring, and developing a wide range of international energy, infrastructure and other projects, acts for companies in relation to hybrid bridge loans, represents underwriters and issuers on capital markets transactions, advises clients on strategic alliances, joint venture arrangements, restructuring issues, data protection laws and other corporate matters, and conducts ancillary legal analysis work relating to the above. Stephanie has assisted banks and companies in various jurisdictions, including Korea, Japan, Singapore, Taiwan, Hong Kong, Mainland China, Europe, the United Kingdom, the United States, Malaysia, Australia and Saudi Arabia.

  • Part of the team advising a large syndicate of international and Taiwanese commercial banks, life insurance companies and cover providers, including export credit agencies, on the project financing of the Changfang and Xidao Taiwanese offshore wind projects being developed by Copenhagen Infrastructure Partners, Taiwan Life Insurance Co., Ltd., and TransGlobe Life Insurance Inc.°
  • Advised the senior lenders on a US$ term loan facility for the KOBC-backed financing of eight containerships. The transaction was named The Project Finance Deal of the Year – East in 2021 by Marine Money
  • Assisted the client with acquisition of stake in an offshore wind power facility in Taiwan.°
  • Advised the client regarding the proposed acquisition of a partial interest in a company involved in a joint venture for the development of an offshore wind farm project in Taiwan.°
  • Advised on a major receivables financing across EPC project arrangements in over ten jurisdictions across Asia Pacific and Middle East region, including Australia, Singapore, Indonesia, United States, Vietnam, Malaysia, Sri Lanka, and Qatar. This involved the team advising on major cross jurisdiction EPC contract arrangements as part of a wider financing transaction.°

  • Part of the team conducting a major due diligence of security documents relating to more than three thousand transactions, across several asset classes and business lines of an international banking corporation.°

  • Advised various senior lenders in relation to three US dollars senior secured term loan facilities, each in relation to one 7,000 unit pure car and truck carrier for a Korean shipping company. The ships are constructed by two major PRC shipbuilding companies, with a PRC state-funded and state-owned bank as the refund guarantor, and will be time chartered to another leading Korean shipping company. A Korean bank provided a junior secured term loan facility in relation to each of the same ships, which is subordinated to the relevant above senior loan.°
  • Advised the senior lenders in relation to a US dollars senior secured term loan facility relating to the financing of one 174,000 cbm LNG carrier for a Korean shipping company. The ship is constructed by a major Korean shipbuilding company, with a Korean bank as the refund guarantor, and will be time chartered to a leading Singapore shipping company, with a Dutch company as the time charter guarantor. A Korean bank provided a junior secured term loan facility in relation to the same ship, which is subordinated to the above senior loan.°
  • Advised a Chinese bank in relation to a US dollars term loan facility relating to the refinancing of four Singapore-flagged tankers and three Isle-of-Man-flagged tankers.°
  • Advised the lenders in relation to a US dollars term loan facility relating to the refinancing of six Singapore-flagged bulk carriers.°
  • Advised the lenders in relation to a US dollars term loan facility relating to the refinancing of part of the cost of acquisition of a Marshall-Islands-flagged containership.°
  • Advised the lenders in relation to a US dollars term loan facility to finance or refinance the acquisition of certain ISO tanks.°
  • Advised the lenders in relation to a Japanese Yen term loan facility relating to the refinancing of an LNG carrier.°
  • Advised various banks in relation to the amendment agreements in connection with the existing term loan facilities.°
  • Advised various banks in relation to the release of the securities under the facilities.°
  • Assisted underwriters for a bond offering in Hong Kong This is a hybrid between the typical English standalone bond with a negative pledge and a typical high yield bond. This role included conducting management and auditor due diligence; preparing a comfort letter and transaction documents including a subscription agreement, a trust deed and an agency agreement; reviewing and revising the offering circular; and conducting other ancillary legal analysis work relating to the above.°
  • Part of the team assisting an issuer regarding a global offering and listing of shares on the Hong Kong Stock Exchange. This role included preparing the business section of the offering circular.°
  • Part of the team advising a sponsor regarding the global offering and listing of shares of a shipping company on the Hong Kong Stock Exchange. This role included assisting the sponsor in conducting due diligence interviews with the issuer’s customers, suppliers and joint venture partners to understand the issuer’s business relationship with those third parties.°
  • Advised a U.S. company on its potential joint venture arrangement with a group of Chinese companies. This role included conducting preliminary due diligence and other related ancillary legal research and analysis work.°
  • Assisted the client with an investment in a group engaged in the textiles business in the United States.°
  • Advised a Chinese bank on its enforcement of security in China, Indonesia and Singapore.°
  • Advised a Chinese leading recycling company in relation to its initial public offering (IPO) in China. Work included due diligence on its Singapore and Malaysia subsidiaries.°
  • Advised a Chinese insurance company and a Chinese bank on U.S. bankruptcy and restructuring issues.°
