WARSAW – Jan. 26, 2016 - Greenberg Traurig advised Atlantik, a Luxemburg based investment company, sole shareholder of Pfleiderer GmbH and indirect controlling shareholder of Pfleiderer Grajewo S.A. on Polish law matters related to the structuring of the corporate reorganization of the Pfleiderer Group.
The cross-border corporate reorganization of the Pfleiderer Group was based on a reverse takeover structure, where Pfleiderer GmbH was acquired by Pfleiderer Grajewo S.A. with the proceeds from the public offering of shares in Pfleiderer Grajewo S.A. The acquisition of Pfleiderer GmbH by Pfleiderer Grajewo S.A. led to the completion of the reorganization with Pfleiderer Grajewo S.A. becoming the parent company of the restructured Pfleiderer Group.
Local Partner Rafał Baranowski, supported by Associate Filip Kijowski, was responsible for M&A and corporate aspects of the cross-border restructuring of the Pfleiderer Group.
Managing Partner Jarosław Grzesiak and Partner Rafał Sieński provided comprehensive legal advice with respect to all matters related to the cross-border reorganization of the Pfleiderer Group and coordinated the Warsaw office’s Mergers and Acquisitions, Capital Markets, and Banking and Finance Departments and the London Office’s US Capital Markets Team.
The total value of the transaction, including the private placement and the repayment in kind, amounts to approximately PLN 744 million.
