Greenberg Traurig advises technology company Inpixon on acquisition of augmented reality technology from Visualix

Greenberg Traurig advised Nasdaq-listed technology company Inpixon, with headquarters in Palo Alto, California, on the acquisition of a suite of augmented reality (AR), computer vision, localization, navigation, mapping, and 3D reconstruction technologies from Visualix. The transaction included the purchase of patents, trademarks, software and related intellectual property from the Berlin-based startup. The purchase price was largely paid by transfer of Inpixon shares.

The purchased solutions leverage patent-pending technologies and a smartphone's camera as well as on-board sensors to create 3D models of indoor spaces. The algorithms and related technologies can enable map creation and localization without requiring external sensors, which can simplify development and deployment. Inpixon intends to integrate and leverage these spatial computing and visual positioning technologies to pursue new verticals as well as to enhance its existing suite of indoor intelligence products and solutions.

Greenberg Traurig comprehensively advised Inpixon on all legal aspects of the transaction including corporate, intellectual property and employment law issues.

Visualix was initially set up by Future Energy Ventures, a former part of innogy, which now belongs to the E.ON Group, based in Essen. In the course of the transaction, some patents were sold directly by Future Energy Ventures.

Background: Greenberg Traurig has been advising the US-based company Inpixon on several cross-border M&A and other IP matters.
