Overview

Greenberg Traurig opened its Delaware office in 1999 in response to the unique and increasing role Delaware plays in the needs of our national and international clients. Our office includes attorneys who have experience advising clients on the legal aspects of complex corporate and commercial matters and litigating in all of Delaware’s federal and state courts, including the Court of Chancery, the Complex Commercial Litigation Division of the Superior Court, the U.S. District Court for the District of Delaware, and the U.S. Bankruptcy Court for the District of Delaware.

Our litigation practice covers a broad range of matters, focusing on corporate and commercial disputes including breach of fiduciary duty claims, corporate control issues, mergers and acquisitions, books and records demands, stockholder appraisal actions, contract disputes, non-competition and non-solicitation agreements, business torts, trade secrets, and intellectual property rights. We also regularly provide counsel to lawyers from other firms whose clients find themselves involved in disputes governed by Delaware law or pending in one of Delaware’s courts.

Our attorneys advise on myriad corporate and commercial law matters involving the organization and operation of Delaware corporations and alternative entities. We represent clients with respect to corporate governance, mergers and acquisitions, structured finance transactions, equity security offerings, dissolutions, and escheat and unclaimed property laws, and we deliver Delaware third-party legal opinions, non-consolidation, and true sale opinions. We are well versed in the complex laws and rules surrounding transactions in Delaware, making the office uniquely situated to handle sophisticated M&A and corporate deals. A number of our attorneys sit on the Alternative Entity Subcommittee of the Delaware State Bar Association, which evaluates and adopts the amendments to Delaware’s alternative entity statutes. Furthermore, our corporate attorneys work closely, both inside and outside of Delaware, with our litigators to ensure that our clients understand and can properly evaluate the risks inherent in today’s corporate environment.

We also have wide-ranging experience representing all of the key parties in bankruptcy cases, as well as counseling troubled companies on reorganization or restructuring alternatives, and resolving business disputes through negotiation or litigation.
